1. Agreeing to these terms
Helpicorn is operated by Brightseid LLC (“Brightseid,” “we,” or “us”). By using Helpicorn, you agree to these terms and to our Privacy Policy. If you use Helpicorn on behalf of an organization, you confirm that you’re allowed to accept these terms for it.
2. Early access
Helpicorn is an early-access service provided “as is” and “as available.” Features may change, be interrupted, or be discontinued, and we may update the service at any time.
3. Accounts and guest access
Please give accurate information, keep your sign-in details secure, and tell us if you think someone else has accessed your account. You’re responsible for activity under your account. Guest sessions are tied to your browser and may be lost if you clear your browser data before creating an account.
4. Daily usage limits
Free use includes a daily AI allowance that resets each day. We may change allowances, AI models, or features at any time, including to prevent abuse or manage costs. When you reach a limit, some features will pause until the next day.
5. Your content
You keep ownership of the information and files you provide and the documents you create with Helpicorn. You give us permission to host, process, and transmit that content, including sending it to our AI and hosting providers, only as needed to run Helpicorn for you. You’re responsible for making sure you have the right to upload your content and contact lists, and that any contact lists are permission-based.
6. Reviewing AI output
AI can make mistakes. You are responsible for reviewing everything Helpicorn produces, including facts, figures, deadlines, eligibility details, and tone, before you use, send, publish, or submit it. Helpicorn does not guarantee grant eligibility, funding, sponsorships, or fundraising results.
7. Acceptable use
You agree not to use Helpicorn to:
- send spam or unsolicited bulk messages, or break anti-spam laws such as CAN-SPAM;
- solicit donations unlawfully, for example without a charitable solicitation registration that’s required where you fundraise;
- harass, threaten, deceive, or defraud anyone, or misrepresent your organization, its programs, or its tax status;
- impersonate another person or organization;
- violate anyone’s privacy or intellectual property, or build invasive profiles of individuals;
- upload malware, or try to disrupt, overload, reverse engineer, or get around the security or limits of the service; or
- do anything unlawful.
8. Your compliance responsibilities
You’re responsible for following the laws and rules that apply to your fundraising and communications. These can include charitable solicitation registration, donation receipt and tax-deductibility requirements, anti-spam and privacy laws, and the rules of any grant program you apply to.
9. Not professional advice
Helpicorn does not provide legal, tax, accounting, or financial advice. When Helpicorn flags something that may need review, or when you’re unsure, please consult a qualified professional.
10. Third-party services and content
Helpicorn links to and draws on third-party sources such as Grants.gov and other websites, and may connect to services like Gmail or Outlook when those features are available. Those services are governed by their own terms. We aren’t responsible for third-party content, including the accuracy or availability of external grant listings.
11. Fees
Helpicorn is free during early access. If we introduce paid plans, we will show you the price before you are charged, and subscribing will always be your choice.
12. Suspension and termination
You can stop using Helpicorn at any time and delete your account from Settings. We may suspend or end access if these terms are broken, or if needed to protect the service, our users, or the public.
13. Disclaimers
To the fullest extent permitted by law, Helpicorn is provided without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
14. Limitation of liability
To the fullest extent permitted by law, Brightseid LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, donations, data, or goodwill. Our total liability for any claim relating to Helpicorn is limited to the greater of the amount you paid us for Helpicorn in the 12 months before the claim or US$100.
15. Indemnity
If your content or your use of Helpicorn in violation of these terms or the law leads to a claim against us, you agree to cover the reasonable costs of that claim, to the extent permitted by law.
16. Changes to these terms
We may update these terms as Helpicorn grows. We will update the date at the top of this page and give more prominent notice of significant changes. If you keep using Helpicorn after changes take effect, the updated terms apply.
17. Governing law
These terms are governed by the laws of the State of [State], without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in [State], unless the law requires otherwise.
